Definition of Platform

The term "Platform" refers to Orange Tech Solutions LLC's web application (www.maintainmyhome.org) or any of its mobile apps, and will also be referred to as the "Maintain My Home platform" in these terms and conditions.


Parties

The parties involved in these terms and conditions include:

  • Orange Tech Solutions LLC, also referred to as "the company," "us," "we," or "our."

  • Service Provider - any individual or company and its employees, contractors, and subcontractors who plan to sell their services through Orange Tech Solutions LLC's platform.

  • Home Owner - Any individual, heir, successor, or company who plans to use the platform for home maintenance or to purchase services from Service Providers.

  • User - Any person or company who intends to use the platform or its mobile applications.


User Agreement

These terms and conditions set forth the obligations and responsibilities between Orange Tech Solutions LLC, Service Providers, and Home Owners when using the company's platform.

The Orange Tech Solutions LLC platform, www.maintainmyhome.org, allows Home Owners to keep their homes in good condition by providing them with a Home Maintenance Checklist, reminders, DIY videos, and connections to Service Providers. Please thoroughly read these terms and policies before using the Orange Tech Solutions LLC platform.

Key Points:

  • Service Providers must ensure they are authorized, qualified, experienced, licensed, and insured to fulfill Service Requests and comply with all state laws in their operating region. They are not employees or contractors of Orange Tech Solutions LLC and acknowledge that they own the content they upload to the platform. Orange Tech Solutions LLC reserves the right to remove any content at its discretion.

  • Orange Tech Solutions LLC provides the platform to help Home Owners maintain their home with the help of various Service Providers.

  • Service Providers may make an offer in response to a Service Request from a Home Owner.

  • Home Owners may change or cancel a Service Request before accepting an offer. Orange Tech Solutions LLC has the right to cancel previous offers made on a modified request.

  • Job offers are best estimates and are subject to change based on additional discovery by Service Provider.

  • A Service Request Contract is created between the Home Owner and Service Provider once payment is successful.

  • Both parties are encouraged to use Orange Tech Solutions LLC’s messaging system to adjust the Service Request date and time.

  • The Service Provider will mark the order/request as complete once the service is finished.

  • Once the Home Owner confirms the completion of the service or Orange Tech Solutions LLC is satisfied, the funds will be released to the Service Provider after commission is deducted.

  • Home Owners are encouraged to leave a review and feedback of the services after the Contract is completed.

Search Feature

Orange Tech Solutions LLC may also provide a Search feature enabling the Home Owners to search & connect for Service Providers

Recurring Service Feature

  1. After the Service Provider completes a recurring service, the Home Owner must confirm completion for the service fee, minus commission, to be automatically released by Orange Tech Solutions LLC to the Service Provider.

  2. Home Owners who subscribe to recurring services will have automatic payments deducted. Upon completion, the Service Provider will mark the job as done and payment will be released to the provider after the Home Owner confirms completion.

  3. Home Owners may cancel their subscription at any time with a 30-day notice period.

Service Provider Offer Listing Feature

1. Service Providers can publish their Offers for any Service on the platform www.maintainmyhome.org

2. The Home Owner may request to book Service Provider’s Listing

3. The Service Provider may revoke or modify its Listing at any time before the Home Owner accepts his offer.

4. If the Service Provider is not able to fulfill the offered Service even after 3 requests from Home Owner, then Service Provider will be charged 10% booking fee with maximum limit of $50 for non-compliance to render the service and to cover the transaction and administration costs.


Orange Tech Solutions LLC Role And Obligations

1. Age Restriction for Users:

Only individuals over 18 years of age are allowed to become Users of Orange Tech Solutions LLC.

2. Platform Services:

Orange Tech Solutions LLC provides the Maintain My Home platform that allows Home Owners to publish Service Requests and Service Providers to send their offers.

3. Account Approval:

Orange Tech Solutions LLC reserves the right to refuse registration or account creation at its discretion. The company may also cancel, suspend, or modify any existing account if the User's conduct is deemed detrimental to the platform.

4. Free Account Creation:

Registering and creating an account with Orange Tech Solutions LLC is free, and there is no charge for posting Service Requests or reviewing content on the platform.

5. Liability for Interactions:

Orange Tech Solutions LLC accepts no liability for any aspect of Home Owner and Service Provider interactions, including the description, performance, or delivery or quality of services provided by Service Provider.

6. Information Accuracy:

Orange Tech Solutions LLC is not responsible for the truth or accuracy of any information provided by Users, including Service Providers' ability to perform tasks, Home Owners' information, or the DIY videos on the platform. Home Owners performing home maintenance activities on their own are solely responsible for any damages, injury, or loss resulting from such activities, and Orange Tech Solutions LLC is not liable.

7. Service Provider Screening:

Orange Tech Solutions LLC does not conduct any investigation or background checks on Service Providers. Home Owners are solely responsible for conducting any background checks, obtaining references, licenses, certifications, or proof of insurance before engaging any Service Provider. Home Owners agree to assume all risks, release, indemnify, and hold harmless Orange Tech Solutions LLC from any loss, liability, injury, death, damage, or costs related to services provided by Service Providers. By accepting these terms and conditions, Home Owners also waive their right to pursue a class action lawsuit against Orange Tech Solutions LLC.

User Obligations

1. The User should at all times comply with this Agreement (including all Policies) and all applicable laws and regulations.

2. The User should only post accurate information on the Orange Tech Solutions LLC Platform.

3. The User should ensure that you are aware of any laws that apply to You as a Home Owner or Service Provider, or in relation to using the Orange Tech solutions LLC Platform – www.maintainmyhome.org

4. You must not use the Orange Tech Solutions LLC Platform for any illegal or immoral purpose.

5. You agree that any content (whether provided by Orange Tech Solutions LLC, a Home Owner or a Service Provider) on the Orange Tech Solutions LLC Platform may not be used on third party sites or for other business purposes without Orange Tech Solutions LLC’s prior permission.

6. You allow Orange Tech Solutions LLC an unrestricted, worldwide, royalty-free license to use, reproduce, modify and adapt any content and information posted on the Orange Tech Solutions LLC Platform for the purpose of publishing material on the Orange Tech Solutions LLC Platform and as otherwise may be required to provide the Orange Tech Solutions LLC, for the general promotion of the Orange Tech Solutions LLC and its platform, and as permitted by this Agreement.

7. You agree that any information posted on the Orange Tech Solutions LLC Platform must not, in any way whatsoever, be potentially or actually harmful to Orange Tech Solutions LLC or any other person. Harm includes, but is not limited to, economic loss that will or may be suffered by Orange Tech Solutions LLC.

8. Without limiting any provision of this Agreement, any information you supply to Orange Tech Solutions LLC or publish in an Offer or a Service Request (including as part of an Offer) must be up to date and kept up to date and must not:

(a) be inaccurate, false or misleading or deceptive

(b) be harassing, abusive, threatening or defamatory

(c) be obscene or contain any material that, in Orange Tech Solutions LLC’s sole and absolute discretion, is in any way inappropriate or unlawful, including, but not limited to obscene, inappropriate or unlawful images;

9. If you are a Service Provider, you must have the right to provide Services under a Service Contract and to work in the jurisdiction where the Services are performed. You must comply with tax and regulatory obligations.

10. You must not, when supplying Services, charge a Home Owner any other fees other than the amount agreed in the Service Contract.

11. If any price increase is required for the Service Request scope change based on Home Owner’s request, Home Owner needs to create an additional Service request for the Service Provider.

12. If the Service Provider agrees to pay some costs of completing the Services (such as equipment to complete the Services), the Service Provider is solely responsible for obtaining any reimbursement from the Home Owner. Orange Tech Solutions LLC advises the Service Providers not to agree to incur costs in advance of receiving the payment for these costs, unless the Service Provider is confident the Home Owner will reimburse the costs promptly.

13. Under no circumstances, Service Provider should request advance payment from Home Owner for materials or equipment.

14. For the proper operation of the Orange Tech Solutions LLC Platform, the Service Provider must ensure that, if it subcontracts any part of the performance of the Services to a third party in accordance with a Service Contract, then that third party must also be a registered User of the Orange Tech Solutions LLC Platform.

15. If Orange Tech Solutions LLC determines at its sole discretion that You have breached any obligation or that You have breached one or more Service Contracts, it reserves the rights to remove any content, Posted Service Request or Offer You have submitted Maintain My Home platform. Orange Tech Solutions LLC can also cancel or suspend your account and/or any Service Contracts if there is any breach of any Service Contracts.

Fees

1. The Home Owner can post the Service request on Orange Tech Solutions LLC Platform free of cost, the Home Owner will not be charged to post the job request on our platform.

2. The Service Provider will be charged 15% of total cost of the Service Contract payable to the Orange Tech Solutions LLC by the Service provider.

3. Service Provider will be paid its Service Amount less 15% deduction post completion of Service and accepted by Home Owner if the transaction is completed through Orange Tech Solution LLC platform. If the transaction is completed outside of Orange Tech Solution LLC platform, then commission charge of 15% will be directly deducted from Stripe account of Service Provider.

4. The Home Owner will be required to pay the total cost of agreed Service contract.

5. Once the offer is accepted by the Home Owner, home owners information will be shared with Service Provider like name, email, address and phone number.

6. All Fees and charges payable to Orange Tech Solutions LLC are non-cancellable and non-refundable.

7. If Orange Tech Solutions LLC introduces a new service charge on the Orange Tech Solutions Platform, the Fees applying to that service will be payable from the launch of the service.

8. Orange Tech Solutions LLC reserves the right to amend the amount of the Home Owner and Service Provider Service Fee from time to time and any changes will be updated on Orange Tech Solutions LLC Platform.

Cancellation and Refunds

1. Service Request Cancelled by Home Owner

a. If the Service Contract is cancelled for any reason by the Home Owner prior to the commencement of the job by Service Provider, then if Orange Tech Solutions LLC is reasonably satisfied that the Agreed Price should be returned to the Home Owner then the Agreed Price less cancellation fees of 6% of agreed price will be refunded to the Home Owner. The refund will be visible in Home Owners Wallet account in the platform. Cancellation fees will be due for Orange Tech Solutions LLC by Home Owner who did the cancellation of the Service Contract.

b. If the Service Provider doesn’t show up for the agreed Service Request, resulting in Home Owner cancelling the request, Home owner will be fully refunded the amount paid for the Service and a cancellation fee of 6% will be charged to Service Provider.

2. If the Service Contract is cancelled for a reason other than Home Owner’s request by the Service Provider prior to the commencement of the Service Contract, then if Orange Tech Solutions LLC is reasonably satisfied then the Agreed Price will be returned to the Home Owner and a Cancellation Admin Fee of 6% will be charged to the Service Provider who did the cancellation of the Service Contract.

Payment Terms

1. Orange Tech Solutions LLC uses Stripe as Payment processor to process Payments.

2. In so far as it is relevant to the provision of the Payment Account, the terms at https://stripe.com/ssa/ are incorporated into this Agreement and will prevail over this Agreement to the extent of any inconsistency in relation to the provision of the Payment Account. Users agree to pay for the charges levied by Stripe for processing the Payment through their preferred payment method.

3. If the Orange Tech Solutions LLC changes its Payment Provider, you may be asked to agree to any further additional terms with those providers. If you do not agree to them, you will be given alternative means of payment.

4. Orange Tech Solutions LLC only acts as an facilitator for processing payments between Home Owner and Service Provider. Orange Tech Solutions LLC does not involve in rendering of any Service Requests nor it warrants the quality of service rendered by Service Providers.

5. Both Service Providers and Home Owner agree to pay Orange Tech Solutions the amount which is due by them and that Orange Tech Solutions can charge the users payment method stored in file for the amount that is due. Orange Tech Solutions LLC reserves all rights to recover the due payment including attorney fees incurred to recover the payment through all means permissible by law. If Orange Tech Solutions is not able to recover any payment, then we retain the option to end or temporarily discontinue your account.

6. For any disputes related to Payment, Service Providers agree that Orange Tech Solutions LLC may deduct funds from their Stripe account in relation to disagreements with Home Owners. Orange Tech Solutions LLC reserves the right to carry out these deductions and to withhold final payments until disputes are resolved. Orange Tech Solutions LLC reserves sole discretion in making a final decision on disputes and, as a Service Provider, you acknowledge that all platform-generated payments you receive are subject to these decisions. Furthermore, Service Providers agree that Orange Tech Solutions LLC may revoke payments made to their Stripe account when a customer refund or guarantee payout is necessary, including if their actions or lack of action violate these terms. These disputes can be of any kind such as quality of Service, deduction, charge backs, claims, errors etc. A dispute request can be sent to Orange Tech Solutions LLC at customerservice@maintainmyhome.org Orange Tech Solutions LLC has no legal binding obligation to resolve the dispute between Home Owner and Service Provider. However to resolve the issue in good faith we might conduct mediation or appoint a neutral third-party mediator or arbitrator selected by Orange Tech Solutions LLC. If any mediator is appointed, the fees of mediator or arbitrator will be split equally between by Home Owner and Service Provider and it will be charged to the payment method stored on your account or the Stripe account linked to our platform account.

7. As a Home Owner making payments through Stripe on the marketplace, you agree to promptly pay all amounts owed through your chosen payment method. You also give Stripe permission to charge your chosen method for any recurring or one-time payments that are due. We implement security measures for payment methods through Stripe and personal financial information, but we do not assume responsibility and you agree to indemnify us against any damages resulting from the unintended disclosure of your personal financial information. If you choose bank account as your payment method, you authorize Stripe to make Automated Clearing House (ACH) withdrawals and to conduct any investigations necessary to resolve payment disputes with either us or Service Provider. Orange Tech Solutions LLC retains the right to discontinue your use of one or more payment methods at its sole discretion. Orange Tech Solutions LLC is authorized to initiate one or more ACH debits or equivalent bank drafts for the designated amount(s) from your bank account, and your financial institution is authorized to deduct these payments. Your authorization will remain valid until you cancel it in writing. You must inform us of any changes to your account information or the termination of your authorization at least 30 days before your next payment is due.

8. If your actions lead to a Payment Dispute, violate these Terms & Conditions, or create risks for Orange Tech Solutions LLC and its payment partners, or if we find that your Account was used for deceptive, fraudulent, or illegal activity, we may permanently withhold any funds owed to you at our discretion. If you have an overdue balance on any account or owe us any additional amounts, without limiting any other rights or options, we may: (a) charge any of your payment methods, (b) deduct what you owe us from amounts you may be owed, (c) send you an invoice for the amount due, payable upon receipt, (d) cancel or block any credits to your bank account, or (e) collect payment from you using any other legal means.

9. Taxes: Orange Tech Solutions LLC will not be collecting any form of taxes – state or federal from Home Owner or Service Provider. All Service Requests from Home Owners, transaction through our platform and Payout to Service Providers will be inclusive of taxes if any. There will not be any separate mention of tax. Service Providers and Home Owners are responsible to determine their own taxes and Orange Tech Solutions LLC does not provide any tax consultation, tax advisory, tax collection or distribution services.

Dispute Management

Orange Tech Solutions LLC values both Service Providers and Home Owners, and we are aware that disputes may occur between them. Our aim is to provide the means for users to resolve such disputes on their own. If, however, the dispute is not resolved then users can reach out to our Customer Service department by writing to us at customerservice@maintainmyhome.org. Orange Tech Solutions in good faith will negotiate and try to resolve the dispute, claims, misunderstandings or disagreement. If, however, a disagreement between parties cannot be resolved, then users agree to use arbitrators appointed by us and the arbitration will be conducted online. The cost of the arbitration will be split between Home Owner and Service Provide equally and will be charged either to payment method on file, your wallet account in our platform or Stripe account. Despite this, you understand and accept that Orange Tech Solutions LLC has no obligation to get involved or enforce resolution in any conflict between users or with any third-party. The users agree to settle disputes through arbitration, but only on an individual basis and not as part of a class or representative action. Users give up their right to participate in a class action or seek class-wide relief. If a court or arbitrator decides that this class action waiver is invalid or unenforceable, the entire arbitration agreement will be considered void and the users will not be bound by it. The terms of your relationship with Orange Tech Solutions LLC will be governed by the laws of Texas. If you have any non-arbitral claims or disputes against Orange Tech Solutions LLC, they must be resolved in a court in Travis County, Texas. You consent to the personal jurisdiction of the courts in Travis County, Texas for the purpose of resolving these claims or disputes. You forfeit any jurisdictional or venue defenses you might have. You are agreeing to protect Orange Tech Solutions LLC and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal and accounting fees) arising from request, receipt, offer, or professional services provided by Service Providers, including but not limited to any injuries, losses, or damages of any kind resulting from such services.

Verification

1. Orange Tech Solution LLC may use Identity Verification Services.

2. You agree that the Orange Tech Solutions LLC Identity Verification Services may not be fully accurate as all Orange Tech Solutions LLC Services are dependent on User-supplied information and/or information or Verification Services provided by third parties.

3. You are solely responsible for identity verification and Orange Tech Solutions LLC accepts no responsibility for any Identity Verification.

Communication

1. Orange Tech Solution LLC may investigate the communication between Home Owner or Service Provider to resolve the disputes between them. This includes message communication from our platform, mobile text messaging, email etc.

2. Communication can also be monitored to levy appropriate charges on Service Provider if the transaction is done through outside of the platform.

COVID-19

Orange Tech Solutions LLC doesn’t collect information related to user vaccination nor do we check or provide the vaccination for Home Owners or Service Providers. Service Providers are encouraged to wear mask while visiting homes for providing their service. Home Owners can ask Service Providers about their Covid status or vaccination and take necessary precautions accordingly. If the Service Provider is suffering from Covid, Service Provider are required to inform the Home Owner whose service request they have accepted and reschedule the service call if required. Orange Tech Solutions LLC bears no liability for Covid related health issues either for Home owner or Service Provider. All users are encourage to follow CDC guidelines and keep themselves safe.

Consent to Process Data

By submitting your personal information or otherwise using the Orange Tech Solutions LLC platform, you consent to the use, processing and storage of your personal information - name, email address, address, phone number, in accordance with these terms and conditions. You expressly acknowledge that Orange Tech Solutions LLC may provide your personal information to any third party service provider for the purposes of providing you your requested service. Orange Tech Solutions LLC may store your personal information for the duration of your period as a User of the Orange Tech Solutions LLC platform and up to 6 months after you terminate your profile on the platform.

By accepting a service provider’s job offer, you agree that the specific service provider will have access to your personal information, including your name, email, phone number, and address. This information will be available to them for the current job and any future interactions if you have selected their services in the past. The specific service provider may also use your information to send you quotes or promotional offers.

No Warranties

Orange Tech Solutions LLC provide the platform “as is,” “with all faults” and “as available,” and the entire risk as to satisfactory quality, performance, accuracy, and effort is with you. To the maximum extent permitted by applicable law, the Orange Tech Solutions LLC make no representations, warranties, or conditions, express or implied. the Orange Tech Solutions LLC expressly disclaim any and all warranties or conditions, express, statutory, and implied, including without limitation: (a) warranties or conditions of merchantability, fitness for a particular purpose, workmanlike effort, accuracy, title, quiet enjoyment, no encumbrances, no liens, and non-infringement; (b) warranties or conditions arising through course of dealing or usage of trade; and (c) warranties or conditions of uninterrupted or error-free access or use. No advice or information, whether oral or written, obtained by you through the platform will create any warranty regarding any Orange Tech Solutions LLC entity or the platform that is not expressly stated in these terms of use. You assume all risk for any damage that may result from your use of or access to the platform, your dealing with any other user, and any material, including all user and platform’s content, available through the platform. You understand and agree that your use of the platform, access, download, or other obtainment of content through the platform and any associated sites or services, are at your own discretion and risk, and that you are solely responsible for any damage to your property (including your computer system or mobile device used in connection with the platform), or the loss of data that results from the use of the platform or the download or use of those content. Some jurisdictions may prohibit a disclaimer of warranties and you may have other rights that vary from jurisdiction to jurisdiction.

Limitation of Liability/Exclusive Remedy

In no event will Orange Tech Solutions LLC or any of our affiliates be liable for any indirect, consequential, special, incidental, or punitive damages (including damages for loss of profits, goodwill, or any other intangible loss) arising out of, based on, or resulting from these terms & conditions or your use or access, or inability to use or access, the platform or any content on the platform, whether based on: (a) breach of contract; (b) breach of warranty; (c) negligence; or (d) any other cause of action, even if Orange Tech Solutions LLC have been advised of the possibility of such damages. to the maximum extent permitted by applicable law, Orange Tech Solutions LLC assume no liability or responsibility for any (i) errors, mistakes, or inaccuracies of content; (ii) personal injury or property damage, of any nature whatsoever, resulting from your access to or use of the platform; (iii) any unauthorized access to or use of our secure servers and/or any and all personal information stored therein; (iv) any interruption or cessation of transmission to or from the services; (v) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our services by any third party; (vi) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the platform; or (vii) user content or the defamatory, offensive, or illegal conduct of any third party. The aggregate liability of Orange Tech Solutions LLC and any of our affiliates to you for all claims arising out of or relating to the use of, or inability to use any portion of the platform or otherwise under these terms & conditions, whether under contract, tort, or otherwise, is limited to the greater of: (1) the amount you have paid to Orange Tech Solutions LLC for the services in the 12 months prior to the events or circumstances giving rise to the claims; or (2) $100. Some jurisdictions do not allow the exclusion or limitation of liability for consequential damages. Accordingly, the above limitations may not apply to you. Each provision of these terms of use that provides for a limitation of liability, disclaimer of warranties, or exclusion of damages is intended to and does allocate the risks between the parties under these terms. This allocation is an essential element of the agreement of the parties. The limitations in this section will apply even if any limited remedy fails its essential purpose.
